• Interactive Solutions: Game development, gamification systems, 3D web experiences
• Consulting Services: Technical consulting, project planning, and strategic guidance

3. Service Agreements and Project Terms

3.1 Project Proposals

All projects begin with a detailed proposal that outlines:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Revision policies
• Intellectual property arrangements

3.2 Client Responsibilities

Clients are responsible for:

• Providing accurate project requirements and feedback
• Supplying necessary content, assets, and information in a timely manner
• Making decisions and approvals within agreed timeframes
• Maintaining confidentiality of any shared proprietary information
• Making payments according to the agreed schedule

4. Payment Terms

4.1 Pricing and Invoicing

• 50% deposit required to begin work
• Remaining balance due upon project completion
• Additional work beyond scope is billed at agreed hourly rates
• All prices are in USD unless otherwise specified

4.2 Late Payments

Payments are due within 30 days of invoice date. Late payments may result in:

• Suspension of work until payment is received
• Late fees of 1.5% per month on outstanding balances
• Transfer of completed work only upon full payment

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment, clients receive ownership rights to:

• Final deliverables specifically created for their project
• Custom code written exclusively for their application
• Brand identity elements and designs commissioned

5.2 CountryDevs Retention

CountryDevs retains rights to:

• Methodologies, techniques, and general knowledge
• Pre-existing intellectual property and tools
• Portfolio rights to showcase completed work
• Reusable code components and frameworks

5.3 Third-Party Components

Projects may incorporate third-party libraries, frameworks, and services subject to their respective licenses.

6. Confidentiality

Country Devs LLP agrees to maintain confidentiality of all proprietary client information and will:

• Not disclose confidential information to third parties
• Use confidential information solely for project purposes
• Return or destroy confidential materials upon request
• Require team members to sign confidentiality agreements

7. Project Revisions and Changes

7.1 Included Revisions

Each project includes a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond this scope will be billed at agreed rates.

7.2 Scope Changes

Changes to project scope require written approval and may result in:

• Adjusted pricing and timeline
• New project agreement or amendment
• Additional terms and conditions

8. Project Timeline and Delays

Project timelines are estimates based on agreed scope and client cooperation. Delays may occur due to:

• Late client feedback or approvals
• Scope changes or additional requests
• Technical challenges or third-party dependencies
• Force majeure events

9. Warranties and Limitations

9.1 Service Warranty

CountryDevs warrants that services will be performed with professional skill and care consistent with industry standards.

9.2 Limitation of Liability

9.3 Website and Hosting

For hosting and maintenance services:

• We aim for 99.9% uptime but cannot guarantee uninterrupted service
• Regular backups are maintained but client data security remains their responsibility
• Updates and maintenance are performed during agreed maintenance windows

10. Termination

10.1 Termination by Client

Clients may terminate projects with written notice. In such cases:

• Payment is due for all work completed to date
• Clients receive deliverables for completed project phases
• Deposits are non-refundable unless otherwise agreed

10.2 Termination by CountryDevs

CountryDevs may terminate projects in cases of:

• Non-payment of invoices
• Breach of these Terms of Service
• Unethical or illegal requests
• Abusive behavior toward team members

11. Privacy and Data Protection

Our handling of personal data is governed by our Privacy Policy. We are committed to protecting your privacy and complying with applicable data protection laws.

12. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through:

1. Good faith negotiation between parties
2. Mediation by a neutral third party if necessary
3. Binding arbitration as a final resort

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

14. Force Majeure
